Petit Duc Terms of Use

These Terms of Use govern your access to and use of the Petit Duc website, digital platform, participant data collection forms, organizer interfaces, dashboards, reports, visual materials and related services.
Petit Duc is developed and operated by Technologies Merisia Inc., a corporation incorporated under the laws of Quebec, Canada, referred to in these Terms as “Merisia,” “Petit Duc,” “we,” “us” or “our.”
By accessing or using Petit Duc, creating an account, submitting information through a participant form or otherwise using any part of the Services, you acknowledge that you have read, understood and agree to be bound by these Terms.
If you do not agree with these Terms, you must not access or use the Services.
Learn About Petit Duc
Petit Duc is a digital platform designed to help event organizers collect, structure, analyze and communicate sustainability-related information about their events.
The platform currently focuses primarily on participant travel. It may allow event organizers to:
- create event-specific participant data collection experiences;
- collect information about travel modes, routes, stops, event dates, vehicle occupancy and other journey characteristics;
- structure multimodal and multi-segment journeys;
- estimate greenhouse gas emissions associated with reported journeys;
- view maps, travel patterns and emission-related indicators;
- generate reports, summaries, visual materials and other outputs; and
- identify opportunities to improve the planning and environmental performance of future events.
Petit Duc may gradually be expanded to cover residual materials and other sustainability indicators.
The available features may vary depending on the event, subscription, service agreement, configuration, development stage or region.
Definitions of terms used
For the purposes of these Terms:
"Services" means the Petit Duc website, platform, participant forms, organizer interfaces, dashboards, reports, visual materials, documentation and related services.
"Organizer" means an organization or individual that configures, purchases, manages or uses Petit Duc in connection with an event.
"Authorized User" means an employee, representative, contractor or other person authorized by an Organizer to access its account or use the Services on its behalf.
"Participant" means a person who submits travel or other event-related information through a Petit Duc form.
"Customer Content" means information, text, logos, images, documents, event details and other materials submitted to Petit Duc by or on behalf of an Organizer.
"Participant Data" means information submitted by or concerning a Participant through the Services.
"Reports" means reports, calculations, summaries, indicators, maps, visual materials, exports and other outputs generated through the Services.
Additional Agreements
An Organizer's use of Petit Duc may also be governed by an order form, service agreement, statement of work, data processing agreement or other written agreement entered into with Merisia.
In the event of a conflict:
- a data processing agreement will prevail with respect to the processing and protection of personal information;
- the applicable service agreement, order form or statement of work will prevail with respect to pricing, subscription scope, included events, service levels and other negotiated commercial terms; and
- these Terms will govern all matters not addressed by those agreements.
Accounts and Access Credentials
Certain features require an account.
You agree to:
- provide accurate and current account information;
- keep your login credentials confidential;
- use reasonable security measures to protect your account;
- restrict access to Authorized Users;
- promptly remove access when an Authorized User is no longer authorized; and
- notify us promptly if you suspect unauthorized access, loss of credentials or another security incident.
You are responsible for activity occurring through your account, except to the extent that the activity results from a security failure directly attributable to Merisia.
Accounts and access rights may not be sold, transferred, shared publicly or made available to unauthorized third parties.
Limited Right to Use the Services
Subject to these Terms and any applicable service agreement, Merisia grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services for their intended purposes.
This right does not constitute a sale, assignment or transfer of ownership.
Unless expressly authorized in writing by Merisia, you may not:
- resell, sublicense, lease or commercially redistribute the Services;
- provide the Services for the benefit of an unrelated third party;
- copy or reproduce substantial portions of the platform;
- modify, translate or create derivative versions of the software;
- reverse engineer, decompile or attempt to extract the source code;
- remove intellectual property notices or attribution;
- circumvent access controls or technical limitations; or
- use Petit Duc to create or improve a competing product or service.
Organizer Responsibilities
Organizers are responsible for how Petit Duc is configured, communicated and used in connection with their events.
An Organizer must:
- provide accurate and complete event information;
- identify the appropriate purposes for collecting Participant Data;
- provide Participants with clear and appropriate information about the collection and use of their information;
- obtain any authorization, consent or other legal basis required for the collection;
- limit collection to information reasonably necessary for the event-related purposes;
- avoid requesting unnecessary sensitive information;
- ensure that Authorized Users access Participant Data only when required for their work;
- protect links, reports and exports that contain non-public information;
- communicate the results with appropriate context and transparency; and
- comply with applicable privacy, marketing, employment, accessibility and event-related laws.
Unless otherwise agreed in writing, the Organizer is responsible for distributing participant forms, QR codes, links and promotional materials and for encouraging participation.
Petit Duc does not guarantee any minimum participation rate, number of responses or level of data completeness.
Participant Submissions
Participants must provide information honestly and to the best of their knowledge.
A Participant may not knowingly:
- submit false or misleading travel information;
- impersonate another person;
- submit information about another person without authorization;
- interfere with another Participant's submission; or
- use a participant form for purposes unrelated to the event.
By submitting information, a Participant acknowledges that the information may be processed to:
- analyze travel associated with the event;
- estimate related greenhouse gas emissions;
- prepare aggregated statistics and Reports;
- support participant awareness;
- help the Organizer understand travel patterns; and
- improve the Services, subject to our Privacy Policy and applicable agreements.
Depending on the event configuration, the Organizer may receive aggregated information, individual journey information or other Participant Data. The applicable collection notice will provide additional details.
Participants do not acquire access to the Organizer's account, dashboard or confidential Reports solely by submitting a form.
Prohibited conduct and use
You may not use the Services in a way that:
- violates any applicable law or the rights of another person;
- causes damage to the Services or connected systems;
- disrupts or interferes with another person's use of Petit Duc;
- introduces malware, malicious code or harmful content;
- attempts to obtain unauthorized access to an account, system or network;
- tests, scans or exploits security vulnerabilities without prior written authorization;
- bypasses rate limits, access restrictions or security controls;
- uses automated tools to scrape, index or extract content, except through a documented interface or with written authorization;
- sends unsolicited commercial communications;
- collects information for surveillance, discrimination or unrelated profiling;
- infringes intellectual property, confidentiality or privacy rights;
- generates misleading, fraudulent or deceptive environmental claims;
- misrepresents an estimate as an independently audited or certified result; or
- otherwise uses Petit Duc in a manner inconsistent with its intended purpose.
Automated access to the public website must comply with our published robots exclusion instructions and any other technical restrictions.
Customer Content
You retain ownership of your Customer Content.
You grant Merisia a limited, worldwide, non-exclusive licence to host, reproduce, process, format, display and otherwise use Customer Content only as reasonably necessary to:
- provide and configure the Services;
- generate Reports and visual materials;
- provide support;
- maintain and secure the platform;
- comply with legal obligations; and
- perform the activities authorized under your agreement with us.
You represent that you have the rights and permissions necessary to provide Customer Content to us and to authorize its use for these purposes.
Unless you have expressly authorized us to do so, we will not publicly identify your organization, use your logo in promotional materials or publish event-specific results.
Participant Data and Privacy
Personal information is handled in accordance with our Privacy Policy, applicable privacy laws and any data processing agreement entered into with an Organizer.
The information collected may vary by event. By default, Petit Duc is designed to collect information relevant to travel analysis rather than direct identifiers such as a Participant's name, personal email address or telephone number. However, additional information may be collected when an Organizer enables or requests a specific feature.
Organizers must not use Petit Duc to collect highly sensitive personal information unless the collection has been expressly approved by Merisia and appropriately documented.
Questions or requests relating to personal information may be directed to Merisia or, where appropriate, to the Organizer responsible for the event.
Aggregated and Anonymized Information
Merisia may generate and use aggregated or anonymized information that does not reasonably identify a Participant, Organizer or specific event.
This information may be used to:
- operate and improve Petit Duc;
- evaluate methodologies and emission factors;
- understand general travel and sustainability patterns;
- perform research and statistical analysis;
- develop new features;
- demonstrate general platform capabilities; and
- communicate general insights.
We will not publicly identify an Organizer or event through such information without authorization.
Emission Estimates and Methodological Limitations
Petit Duc generates estimates based on information provided by Organizers and Participants, available emission factors, mapping or distance information, vehicle occupancy, assumptions, conversions and calculation methodologies.
Results may be affected by:
- incomplete or inaccurate submissions;
- response rates;
- assumptions made when information is missing;
- variations between actual and calculated distances;
- the availability and quality of emission factors;
- changes in recognized methodologies;
- differences between transportation technologies and operating conditions; and
- the geographic, temporal and operational scope selected for the analysis.
For these reasons, Reports should be understood as decision-support and communication tools rather than measurements of absolute scientific certainty.
Unless expressly stated in writing, Petit Duc Reports are not:
- independently audited or verified greenhouse gas inventories;
- certifications or attestations of environmental performance;
- legal, accounting, engineering or professional advice;
- guarantees of compliance with a particular standard, funding program or reporting framework; or
- guarantees that an event will reduce its emissions or environmental impact.
Organizers remain responsible for determining whether a Report is suitable for a particular disclosure, funding application, certification, contractual obligation or regulatory requirement.
Use of Generated Reports
Subject to payment of applicable fees and any separate agreement, an Organizer may use, reproduce and share Reports generated for its own events for:
- internal planning;
- participant awareness;
- reporting to partners, sponsors or funders;
- institutional communications;
- sustainability disclosures; and
- improving future editions of an event.
Reports must not be altered or presented in a manner that:
- changes the meaning of the results;
- conceals important assumptions or limitations;
- exaggerates the scope or precision of the analysis;
- suggests independent verification where none occurred;
- attributes reductions or environmental benefits that have not been demonstrated; or
- otherwise creates a misleading environmental claim.
References to Petit Duc, methodologies, data limitations and calculation dates should be preserved where relevant to the interpretation of the results.
Intellectual Property
Merisia owns or has obtained the rights necessary to use all intellectual property associated with Petit Duc, including:
- software and source code;
- interfaces and workflows;
- forms and participant experiences;
- databases, structures and configurations;
- calculation methods and models;
- standard reports and templates;
- visual materials and documentation;
- trademarks, trade names, logos and branding; and
- website and social media content.
Except for the limited rights expressly granted under these Terms or a separate agreement, no intellectual property right is transferred to you.
The presence of a trademark, trade name or logo on the Services does not grant any licence or right to use it.
Feedback and suggestions
You may provide comments, suggestions or ideas regarding Petit Duc.
Unless otherwise agreed in writing, you grant Merisia the right to use feedback without restriction or compensation, provided that we do not publicly identify you or disclose your confidential information without authorization.
Feedback does not include Customer Content, Participant Data or confidential business information.
Third-Party Services and Data Sources
Petit Duc may rely on or interact with third-party services, including hosting providers, mapping services, geocoding tools, emission-factor sources, communication tools and event-related platforms.
Third-party services may be governed by their own terms and privacy practices.
Merisia does not control every third-party service and is not responsible for interruptions, modifications, inaccuracies or failures caused by a third-party provider, except to the extent required by law or expressly agreed in writing.
The inclusion or integration of a third-party service does not necessarily constitute an endorsement of that provider.
Links to external websites
Our website and Services may contain links to third-party websites or resources.
These links are provided for convenience and informational purposes. Merisia does not control and makes no representation regarding the content, security, availability or practices of third-party websites.
Accessing an external website is at your own discretion and is subject to that website's terms and privacy policies.
Availability, Maintenance and Changes
Merisia will make reasonable efforts to maintain the availability and proper operation of Petit Duc.
The Services may occasionally be unavailable due to:
- scheduled or emergency maintenance;
- updates or feature deployments;
- technical failures;
- third-party service interruptions;
- cybersecurity incidents;
- Internet or telecommunications failures; or
- circumstances beyond our reasonable control.
Unless a separate service level agreement applies, we do not guarantee uninterrupted, error-free or continuous availability.
We may modify, improve, replace or discontinue features to maintain security, respond to legal or methodological changes, improve the user experience or develop the platform. We will make reasonable efforts to avoid materially reducing paid functionality during an active subscription without notice or an appropriate alternative.
Pilot, Preview and Beta Features
Some features may be identified as pilot, preview, beta, experimental, early access or in development.
These features may:
- be incomplete;
- change without prior notice;
- contain errors;
- produce preliminary results;
- have limited support; or
- be discontinued.
You should not rely on experimental features for critical reporting or compliance purposes unless their use has been expressly agreed with Merisia.
Fees, pricing and payment
Certain Services are offered for a fee.
Pricing, included events, usage limits, subscription periods, payment terms, taxes and renewal conditions will be described in the applicable proposal, order form, invoice, service agreement or checkout process.
Unless otherwise required by law or agreed in writing:
- fees are expressed in Canadian dollars;
- applicable taxes are additional;
- payment obligations are non-cancellable; and
- fees already paid are non-refundable.
Failure to pay an overdue amount may result in the suspension of paid Services after reasonable notice.
Suspension and Restriction of Access
We may suspend or restrict access to some or all of the Services when reasonably necessary to:
- address a security risk;
- prevent harm to the platform or another user;
- investigate suspected unauthorized or unlawful activity;
- respond to a legal request;
- perform urgent maintenance;
- address overdue payments; or
- enforce these Terms.
Where reasonably possible, we will provide notice and an opportunity to correct the issue before suspending access.
We may act without prior notice where immediate action is reasonably necessary to protect security, confidentiality, legal compliance or the integrity of the Services.
Termination of this agreement
You may stop using the public website or participant forms at any time.
An Organizer may terminate its account or paid Services in accordance with its applicable service agreement or subscription terms.
Merisia may terminate access where:
- you materially breach these Terms or another applicable agreement;
- the breach is not corrected within a reasonable period after notice;
- continued use creates a security, legal or operational risk;
- you use Petit Duc fraudulently or unlawfully;
- required fees remain unpaid; or
- providing the Services becomes unlawful or no longer reasonably possible.
Upon termination:
- the right to access the platform ends;
- unpaid amounts remain payable;
- Merisia retains ownership of Petit Duc;
- the Organizer may continue using Reports already delivered and paid for, subject to these Terms; and
- data will be retained, returned, anonymized or deleted in accordance with the applicable agreement, Privacy Policy, retention practices and legal requirements.
Provisions that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, confidentiality, liability, indemnification and governing law.
Disclaimer of Warranties
The Services are provided on an "as available" basis.
Merisia will provide the Services with reasonable care and diligence. However, to the fullest extent permitted by law, we do not warrant that:
- the Services will be uninterrupted or error-free;
- every calculation will be exact;
- all submitted information will be accurate or complete;
- every transportation mode or scenario will be supported;
- the Services will meet every Organizer's specific requirements;
- Reports will be accepted by a particular authority, sponsor, funder or certification body;
- use of Petit Duc will result in measurable emission reductions; or
- every defect will be corrected immediately.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intentional or gross fault or for bodily or moral injury where such a limitation is prohibited.
To the fullest extent permitted by law, Merisia and its directors, officers, employees, representatives and contractors will not be liable for indirect, incidental, special, punitive or consequential damages arising from or related to the Services, including loss of profits, revenue, opportunity, reputation, anticipated savings or data.
Merisia is not responsible for losses resulting from:
- inaccurate, incomplete or misleading information supplied by an Organizer or Participant;
- decisions made solely on the basis of an estimate or Report;
- an Organizer's misleading or inappropriate use of results;
- unauthorized account access caused by a user's failure to protect credentials;
- third-party services or external websites;
- circumstances beyond Merisia's reasonable control; or
- use of experimental or unsupported features.
To the fullest extent permitted by law, Merisia's total cumulative liability arising from the Services will not exceed the amount paid by the applicable Organizer for the Services during the twelve months preceding the event giving rise to the claim.
For a user who has not paid for the Services, Merisia's total cumulative liability will not exceed one hundred Canadian dollars.
These limitations apply regardless of the legal basis of the claim and even if Merisia has been informed that a loss was possible.
Indemnification by Organizational Users
To the fullest extent permitted by law, an Organizer agrees to indemnify and hold harmless Merisia and its directors, officers, employees and contractors from third-party claims, losses, liabilities and reasonable legal costs arising from:
- the Organizer's Customer Content;
- its unlawful or unauthorized collection or use of Participant Data;
- its failure to provide required privacy notices or obtain required authorizations;
- its misleading communication or alteration of Reports;
- its infringement of a third party's rights;
- its violation of applicable law; or
- its material breach of these Terms.
This obligation does not apply to the extent that a claim results from Merisia's own fault or breach of its obligations.
Force majeure events
Neither party will be responsible for a delay or failure caused by an event beyond its reasonable control that could not reasonably have been prevented or overcome.
Such events may include natural disasters, severe weather, fires, epidemics, labour disruptions, war, civil unrest, government action, widespread telecommunications failures, major cybersecurity events or failures of essential third-party infrastructure.
Obligations affected by the event will be suspended for the period reasonably required to address its effects.
Electronic Communications
You agree that notices, agreements, disclosures and other communications may be provided electronically, including through the Services or by email.
Electronic communications and records may be retained and reproduced as evidence of transactions, instructions and acceptance, subject to applicable law.
You are responsible for maintaining a valid email address associated with your account.
Governing Law and Jurisdiction
These Terms are governed by the laws applicable in the Province of Québec and the federal laws of Canada applicable in Québec, without regard to conflict-of-law principles.
Subject to any mandatory legal right to bring a proceeding elsewhere, disputes relating to these Terms or the Services will be submitted exclusively to the courts located in the judicial district of Saint-François, Québec.
Before initiating formal proceedings, the parties are encouraged to make reasonable efforts to resolve the matter through good-faith discussions.
Governing language of this agreement
These Terms may be made available in French and English.
Where required by applicable law, the French version will be provided before a user chooses to be bound by the English version. Both versions are intended to have the same meaning.
Changes to These Terms
We may update these Terms to reflect changes to:
- the Services;
- our business practices;
- applicable laws;
- security requirements;
- calculation methodologies; or
- third-party services.
The updated version will be posted with a revised "Last updated" date.
Where a change materially affects the rights or obligations of registered or paying users, we will provide reasonable advance notice through the Services, by email or by another appropriate method.
Continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms. If you do not agree with an update, you must stop using the Services and may terminate paid Services in accordance with the applicable agreement.
General Legal Provisions
If any provision of these Terms is found invalid, illegal or unenforceable, it will be applied to the maximum extent permitted by law, and the remaining provisions will remain in effect.
A failure to enforce a provision does not constitute a waiver of that provision.
You may not assign or transfer your rights or obligations under these Terms without Merisia's prior written authorization. Merisia may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition or transfer of the Petit Duc business, subject to applicable privacy and contractual obligations.
These Terms, together with the Privacy Policy and any applicable written agreement, constitute the entire agreement concerning their subject matter.
Headings are provided for convenience and do not affect interpretation.
